Welcome to Jyuni Inc. ("Jyuni," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website (jyuni.com) and any related applications, services, and software (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1Eligibility & Acceptance

  • You must be at least 18 years old and capable of entering into legally binding agreements.
  • By registering, you represent that all information you provide is accurate, current, and complete.
  • If you are using the Services on behalf of an organization, you represent you have authority to bind that organization.

2Account Registration & Security

  • Users must create an account to access most features.
  • You are responsible for safeguarding your login credentials and all activity under your account.
  • You agree not to share accounts, misrepresent identity, or use the Services for unauthorized purposes.
  • Notify us immediately of any unauthorized access.

3Compliance with Laws & HIPAA

  • You acknowledge that the Services may involve Protected Health Information (PHI) and agree to use them in compliance with all applicable laws, including HIPAA, HITECH, and state privacy laws.
  • Jyuni provides HIPAA-aligned security measures but ultimate responsibility for obtaining client consent, safeguarding PHI, and lawful data entry rests with the account holder.
  • You may request a Business Associate Agreement (BAA) if required for your practice.

4User Responsibilities

You agree NOT to:

  • Violate laws, regulations, or professional codes of ethics.
  • Upload unlawful, harmful, defamatory, or infringing content.
  • Reverse engineer, copy, resell, sublicense, or otherwise misuse our Services.
  • Interfere with system security or attempt unauthorized access.
  • Use the Services in a way that exposes Jyuni to liability or reputational harm.

5Subscription, Billing & Payment

  • Access to Services may require subscription fees, billed in advance on a recurring basis (monthly or annually).
  • All payments are non-refundable except where required by law.
  • You authorize Jyuni (or its third-party processor, e.g., Stripe) to automatically charge your payment method.
  • Failed payments may result in suspension or termination of access.
  • Jyuni reserves the right to adjust fees with 30 days' prior notice.

5ATrials & Billing

Free Trials

Jyuni may offer free or promotional trial periods to eligible customers. The length and terms of any trial will be disclosed at the time of signup.

Unless otherwise stated at signup, customers are required to provide a valid payment method to begin a trial. By starting a trial, the customer authorizes Jyuni to begin charging the applicable fees when the trial period ends, unless the customer cancels before the end of the trial period.

The applicable pricing, billing frequency, seat-based fees, usage-based fees, and any other charges will be presented to the customer before or during signup.

Customers are responsible for cancelling their subscription before the end of the applicable trial period if they do not wish to continue using paid Jyuni services.

Jyuni may send reminders regarding an upcoming trial expiration or billing event. Failure to receive or read a reminder does not cancel a subscription or eliminate charges that were otherwise properly authorized.

Seat-Based Pricing

Certain Jyuni plans may include fees based on the number of seats, users, providers, or other account licenses ("Seats").

  • Where a plan includes Seat-based pricing, charges will be calculated based on the number of billable Seats associated with the customer's account during the applicable billing period, according to the pricing displayed at signup or in the customer's applicable order or subscription agreement.
  • Customers are responsible for maintaining accurate user and Seat assignments within their Jyuni account.
  • Adding, activating, or otherwise assigning additional billable Seats may result in additional charges in accordance with the applicable pricing.
  • Removing or deactivating a Seat does not retroactively eliminate charges for that Seat for periods in which it was billable.

No Prorated Charges

Jyuni does not prorate charges. Fees are billed for the full applicable billing period regardless of when during that period a Seat is added, activated, removed, deactivated, or otherwise changed, and regardless of whether the customer used the applicable services for the entire period.

  • For purposes of this section, "billing period" means the recurring interval on which the customer's plan is billed, as disclosed at signup or in the customer's applicable order or subscription agreement.
  • Where a Seat is added or activated during a billing period, the customer will be charged the full applicable Seat fee for that billing period, and not a partial or prorated amount.
  • Where a Seat is removed or deactivated during a billing period, the customer remains responsible for the full Seat fee for that billing period. Jyuni does not issue credits, refunds, or partial adjustments for unused portions of a billing period, unused Seats, reduced usage, or downgrades taking effect during a billing period.
  • Unless otherwise stated in the customer's applicable order or subscription agreement, Seat-based fees for a billing period are calculated based on the highest number of billable Seats associated with the customer's account at any point during that billing period.
  • Any change to a customer's plan, Seat count, or pricing tier that reduces the amount owed will take effect at the beginning of the next billing period, unless Jyuni states otherwise in writing.

Usage-Based Pricing

Certain Jyuni services may be billed based on actual usage. Usage may include, without limitation, minutes, claims, transactions, messages, or other measurable units of service, depending on the applicable Jyuni product or plan.

Usage-based charges will be calculated using Jyuni's records of billable usage during the applicable billing period and the applicable rates disclosed to the customer.

For example, where pricing is based on a per-unit rate, the amount due may be calculated as:

Billable Usage × Applicable Rate = Usage Charge

Jyuni maintains electronic records of billable usage, including applicable account identifiers, usage quantities, dates or timestamps, and other information reasonably necessary to calculate charges. These records may be used to calculate invoices and to verify charges in the event of a billing inquiry or payment dispute.

Usage incurred before cancellation, expiration, or termination of an account remains payable even if the customer subsequently cancels the account.

Billing Statements and Invoices

Jyuni may provide invoices, receipts, billing statements, or other billing information identifying applicable charges. Depending on the customer's plan, billing information may identify subscription fees, Seat-based charges, usage-based charges, or other applicable fees.

Customers are responsible for reviewing their billing information and promptly notifying Jyuni of any suspected billing error.

A customer may not dispute a properly calculated charge solely because the customer did not review a billing statement, forgot to cancel an account, was unaware that a trial had converted to a paid service, or expected a prorated amount, where the applicable trial, proration, and billing terms were disclosed at signup.

Cancellation

  • Customers may cancel their Jyuni subscription through the cancellation method made available by Jyuni or by contacting Jyuni as specified in the customer's account or applicable agreement.
  • Cancellation prevents future charges that would otherwise arise after the effective cancellation date. Cancellation does not eliminate charges that were properly incurred before cancellation, including applicable Seat-based fees, usage-based fees, or other amounts accrued before the effective cancellation date.
  • Cancellation takes effect at the end of the then-current billing period. Fees for the billing period in which cancellation occurs are not prorated, and the customer remains responsible for the full amount for that billing period.
  • Any refund will be provided only in accordance with Jyuni's applicable refund policy or as otherwise determined by Jyuni.

Billing Records and Disputes

Jyuni maintains records relating to customer subscriptions, trial acceptance, billing plans, Seats, usage, invoices, payments, cancellations, and customer communications. These records may be used to verify the authorization and accuracy of charges.

If a customer believes a charge is incorrect, the customer should contact Jyuni promptly and provide sufficient information to identify the disputed charge. Jyuni will review the applicable account, billing, Seat, usage, and payment records.

Where appropriate, Jyuni may provide relevant account and billing records to its payment processor, financial institution, or other authorized party to establish the validity and calculation of a disputed charge.

6Ownership of Content & Data

  • Your Data: You retain all rights to data you upload, subject to Jyuni's license to host, process, and display it as needed to provide Services.
  • Our IP: Jyuni and its licensors own all rights, title, and interest in the Services, including software, trademarks, designs, and content. No rights are granted except as explicitly provided.
  • Unauthorized copying or redistribution of the platform is strictly prohibited.

7Service Availability & Updates

  • Jyuni strives for high availability but does not guarantee uninterrupted Services.
  • We may update, modify, or discontinue parts of the Services at any time without liability.
  • Downtime for maintenance or unforeseen outages will not entitle users to refunds unless required by law.

8Third-Party Services

  • The Services may integrate with third-party software (e.g., Stripe, Google, Zoom).
  • Jyuni is not responsible for third-party providers' acts, omissions, or security practices.

8AClaims Submission & Clearinghouse Disclaimer

Jyuni may provide tools that allow users to generate, format, or transmit insurance claims or billing information to third-party clearinghouses, payers, or billing systems (including but not limited to ClaimMD or similar services).

Jyuni does not review, validate, audit, correct, or guarantee the accuracy, completeness, medical necessity, or compliance of any claim data submitted through the Services.

All claim information, billing codes, modifiers, documentation, and payer details are solely entered and controlled by the user.

Accordingly:

  • Jyuni acts solely as a technology platform that transmits user-submitted data to third-party clearinghouses or billing integrations.
  • Jyuni is not a billing company, revenue cycle management provider, or medical coding authority.
  • Jyuni does not guarantee claim acceptance, reimbursement, adjudication outcomes, or payer processing results.
  • Jyuni is not responsible for denied claims, rejected claims, payment delays, billing errors, compliance violations, audits, or payer disputes.

Users are solely responsible for:

  • Ensuring all submitted claims comply with payer rules, CMS regulations, and applicable healthcare billing laws.
  • Verifying coding accuracy (CPT, HCPCS, ICD-10, modifiers, etc.).
  • Maintaining proper documentation and clinical records.
  • Reviewing claim submissions before transmission.

Any claim submitted through Jyuni is considered user-generated content, and the user assumes full responsibility for its accuracy and legal compliance.

Jyuni shall not be liable for any financial loss, penalties, audits, reimbursement issues, or legal claims arising from claims submitted through the Services.

9Termination & Suspension

  • We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or create security/legal risks.
  • You may cancel at any time, but payments are non-refundable.
  • Upon termination, Jyuni may delete your data after the legally required retention period.

10Disclaimers

  • Services are provided "AS IS" and "AS AVAILABLE."
  • Jyuni disclaims all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement.
  • We do not guarantee outcomes, error-free operation, or uninterrupted access.

11Limitation of Liability

  • To the maximum extent permitted by law, Jyuni and its officers, directors, employees, and affiliates are not liable for indirect, incidental, consequential, special, or punitive damages, even if advised of such risks.
  • Total liability for all claims in any 12-month period shall not exceed the greater of: (a) amounts you paid Jyuni for Services in that period, or (b) $500.

12Indemnification

You agree to defend, indemnify, and hold harmless Jyuni from claims, damages, liabilities, costs, and expenses (including attorneys' fees) arising from:

  • Your use or misuse of the Services.
  • Violation of these Terms or applicable law.
  • Data you submit or actions you take through the Services.

13Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts of laws principles.
  • Any dispute shall be resolved exclusively through binding arbitration in Wilmington, Delaware under the American Arbitration Association (AAA) rules.
  • Class Action Waiver: You agree that disputes must be resolved individually, and you waive the right to participate in class actions or consolidated proceedings.

14Modifications

  • Jyuni may revise these Terms at any time. Material changes will be notified by email or through the platform.
  • Continued use of Services after changes take effect constitutes acceptance of the new Terms.

15Entire Agreement

These Terms, along with our Privacy Policy and any applicable BAA, constitute the entire agreement between you and Jyuni. They supersede prior agreements, oral or written, related to your use of the Services.
