Welcome to Jyuni Inc. ("Jyuni," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website (jyuni.com) and any related applications, services, and software (collectively, the "Services").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Jyuni may offer free or promotional trial periods to eligible customers. The length and terms of any trial will be disclosed at the time of signup.
Unless otherwise stated at signup, customers are required to provide a valid payment method to begin a trial. By starting a trial, the customer authorizes Jyuni to begin charging the applicable fees when the trial period ends, unless the customer cancels before the end of the trial period.
The applicable pricing, billing frequency, seat-based fees, usage-based fees, and any other charges will be presented to the customer before or during signup.
Customers are responsible for cancelling their subscription before the end of the applicable trial period if they do not wish to continue using paid Jyuni services.
Jyuni may send reminders regarding an upcoming trial expiration or billing event. Failure to receive or read a reminder does not cancel a subscription or eliminate charges that were otherwise properly authorized.
Certain Jyuni plans may include fees based on the number of seats, users, providers, or other account licenses ("Seats").
Jyuni does not prorate charges. Fees are billed for the full applicable billing period regardless of when during that period a Seat is added, activated, removed, deactivated, or otherwise changed, and regardless of whether the customer used the applicable services for the entire period.
Certain Jyuni services may be billed based on actual usage. Usage may include, without limitation, minutes, claims, transactions, messages, or other measurable units of service, depending on the applicable Jyuni product or plan.
Usage-based charges will be calculated using Jyuni's records of billable usage during the applicable billing period and the applicable rates disclosed to the customer.
For example, where pricing is based on a per-unit rate, the amount due may be calculated as:
Billable Usage × Applicable Rate = Usage Charge
Jyuni maintains electronic records of billable usage, including applicable account identifiers, usage quantities, dates or timestamps, and other information reasonably necessary to calculate charges. These records may be used to calculate invoices and to verify charges in the event of a billing inquiry or payment dispute.
Usage incurred before cancellation, expiration, or termination of an account remains payable even if the customer subsequently cancels the account.
Jyuni may provide invoices, receipts, billing statements, or other billing information identifying applicable charges. Depending on the customer's plan, billing information may identify subscription fees, Seat-based charges, usage-based charges, or other applicable fees.
Customers are responsible for reviewing their billing information and promptly notifying Jyuni of any suspected billing error.
A customer may not dispute a properly calculated charge solely because the customer did not review a billing statement, forgot to cancel an account, was unaware that a trial had converted to a paid service, or expected a prorated amount, where the applicable trial, proration, and billing terms were disclosed at signup.
Jyuni maintains records relating to customer subscriptions, trial acceptance, billing plans, Seats, usage, invoices, payments, cancellations, and customer communications. These records may be used to verify the authorization and accuracy of charges.
If a customer believes a charge is incorrect, the customer should contact Jyuni promptly and provide sufficient information to identify the disputed charge. Jyuni will review the applicable account, billing, Seat, usage, and payment records.
Where appropriate, Jyuni may provide relevant account and billing records to its payment processor, financial institution, or other authorized party to establish the validity and calculation of a disputed charge.
Jyuni may provide tools that allow users to generate, format, or transmit insurance claims or billing information to third-party clearinghouses, payers, or billing systems (including but not limited to ClaimMD or similar services).
Jyuni does not review, validate, audit, correct, or guarantee the accuracy, completeness, medical necessity, or compliance of any claim data submitted through the Services.
All claim information, billing codes, modifiers, documentation, and payer details are solely entered and controlled by the user.

Any claim submitted through Jyuni is considered user-generated content, and the user assumes full responsibility for its accuracy and legal compliance.
Jyuni shall not be liable for any financial loss, penalties, audits, reimbursement issues, or legal claims arising from claims submitted through the Services.
You agree to defend, indemnify, and hold harmless Jyuni from claims, damages, liabilities, costs, and expenses (including attorneys' fees) arising from:
These Terms, along with our Privacy Policy and any applicable BAA, constitute the entire agreement between you and Jyuni. They supersede prior agreements, oral or written, related to your use of the Services.
